SciChart Startup Pricing Programme – Terms & Conditions

1. Programme Overview

The SciChart Startup Pricing Programme (“Programme”) is a discretionary commercial initiative offered by SciChart Ltd (“SciChart”) to support individual developers and early-stage organisations. The Programme provides discounted pricing subject to eligibility, scope, and usage conditions.

Participation in the Programme does not amend or replace the SciChart End User Licence Agreement (“EULA”), which continues to govern all use of the Software except where explicitly stated.

2. Eligibility

To be eligible for the Programme, an applicant must meet all of the following criteria at the time of application and throughout participation:

  • Be a single individual, single-entity organisation, or standalone company

  • Have annual revenue under USD $1,000,000 or total funding under USD $1,000,000

  • Require licences for no more than five (5) developers

  • Use the Software in connection with one (1) application only

SciChart reserves the right, at its sole discretion, to accept or reject any application.

3. Licence Scope

Participation in the Programme is limited to:

  • One named application

  • One primary codebase

  • Deployment to one or more customers or environments, subject to end-user limits

Use of the Software for additional applications, products, subsidiaries, group companies, or commercial offerings is expressly excluded and requires separate licensing.

Developer seat usage, reassignment, contractor access, and automated systems are governed by the SciChart EULA.

4. Commercial Terms

  • A 50% discount applies to standard developer seat pricing only

  • Advanced Licensing and Large-Scale Runtime licensing are excluded as standard and subject to separate approval.

  • The discount is valid for up to thirty-six (36) months, subject to continued eligibility and supports renewal thereafter.

  • Multi-year licence purchases (up to three years) are supported

All licences granted under the Programme remain perpetual in accordance with the EULA, subject to the conditions set out herein.

5. End Users and Scale

Use of the Software under the Programme is limited to a maximum of 15,000 end users over a rolling twelve (12) month period.

For the purposes of the Programme, “end users” means distinct individuals or devices interacting with an application incorporating the Software.

End-user counts are self-reported. If the end-user threshold is exceeded, the application becomes ineligible for the Programme and requires relicensing under SciChart’s Advanced Licensing model.

No grace period applies.

6. Regulated and Safety-Critical Use

Regulated and safety-critical applications are permitted under the Programme.

Applicants must disclose whether the application is intended for regulated, safety-critical, or compliance-sensitive use. Such disclosure does not, in itself, affect eligibility or pricing, but may be relevant for internal review and support considerations.

7. Marketing and Collaboration Obligations

As a condition of participation, applicants agree to engage in good-faith collaboration with SciChart on marketing activities.

Within six (6) months of project launch, participants must complete all of the following:

  • Acknowledgement of SciChart on their website, including a link to SciChart; and

  • Participation with the following:

    • A short case study, designed by SciChart requiring at minimum, 3 images of the software containing SciChart and 300 words describing the implementation, sector, clients, benefit and role of SciChart.

    • A LinkedIn post and quotation

SciChart retains full editorial control over all published materials. SciChart will normally seek participant review and sign-off prior to publication; however, SciChart reserves the right to publish without sign-off where reasonable.

Failure to participate in good faith constitutes a material breach of the Programme.

8. Ongoing Eligibility and Notification

Eligibility is assessed at the time of purchase and at each renewal.

Participants must promptly notify SciChart if they cease to meet eligibility requirements during a licence term, including (without limitation):

  • Revenue or funding exceeding USD $1,000,000

  • Developer count exceeding five (5)

  • End users exceeding 15,000

  • Expansion beyond one application

Where eligibility is lost, discounted pricing ceases and standard commercial terms apply at the next billing event, unless otherwise agreed in writing.

9. Misrepresentation

Applicants warrant that all information provided in connection with the Programme is accurate and complete.

If SciChart determines that eligibility was obtained through intentional or reckless misrepresentation:

  • Participation in the Programme terminates immediately

  • All discounted or concessionary terms granted under the Programme are void

  • Any royalty-free or reduced-fee rights granted under the Programme are revoked

  • Continued use of the Software requires relicensing under standard commercial terms

SciChart is not required to backdate fees.

10. Assignment, Acquisition, and Group Companies

Licences granted under the Programme:

  • May not be assigned or transferred to different organisations.

  • Automatically terminate upon acquisition, merger, or sale of the licensed application or its underlying IP

Use by parent companies, subsidiaries, or group entities is expressly excluded unless separately licensed.

11. Termination

SciChart may terminate participation in the Programme, or the licence entirely, for material breach.

Upon termination:

  • All rights to use the Software cease

  • Maintenance and support end

  • Any royalty-free or concessionary rights lapse

Termination under this section is without prejudice to any other rights under the EULA.

12. Programme Changes

SciChart may modify or withdraw the Programme at any time with respect to future applicants. Changes do not apply retroactively to existing participants unless required by law or agreed in writing.

13. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales, and align with the governing law and jurisdiction of the SciChart EULA.
